Terms of Service

1. Parties

These terms form an agreement between you and Corp. Using the website or the service constitutes acceptance of them.

2. The service

Corp builds and operates software that performs repetitive administrative work for a business. This includes reading reviews and preparing replies, triaging inbound mail and preparing responses, analyzing vendor spend, managing outreach sequences, and handling hiring intake.

Corp prepares work for your approval. With a single exception you enable yourself, described in section 5, nothing is sent or published without a person authorising it.

3. Scope of advice

Corp does not provide legal, financial, tax, insurance or other professional advice. Any figure, recommendation or draft the service produces is an input to your judgement, not a replacement for it. Decisions carrying legal, financial or regulatory consequence should be taken with advice from a qualified professional.

This applies with particular force in regulated industries. Where you operate under a license, a carrier agreement or an advertising rule, you remain responsible for everything published in your name, including material Corp prepared.

4. Accounts and access

You are responsible for who you grant access to your Corp account, and should notify us promptly of any access you believe to be unauthorised.

By connecting a Google or Microsoft account you confirm you hold the authority to grant that access on behalf of the business. Access may be revoked by you at any time through the provider, without our involvement.

5. Approval and responsibility for published content

The service is designed so that a person approves anything leaving your business. That design depends on somebody within your organization holding that responsibility. Accordingly you agree that:

6. Acceptable use

You may not use Corp to breach any law, to harass any person, to collect or resell data you have no right to, to reverse engineer the service, or to resell access absent a written agreement. You may not process data you are not permitted to process, including personal data of third parties for which you hold no lawful basis.

7. Fees

Where a paid plan applies, the fee and billing period are those agreed in writing at the point of engagement. Fees are billed in advance. Any change to pricing will be notified before it takes effect, and you may cancel rather than accept it.

8. Cancellation

You may cancel at any time, effective at the end of the current billing period. On cancellation, access to connected accounts is revoked and stored tokens are deleted within 30 days. An export of your data will be provided on request before departure.

9. Availability

The service is provided on an as is basis. No uptime commitment is made under these terms unless a separate written agreement provides one. Parts of the service depend on third party providers, and an interruption at a provider constitutes an interruption of the dependent function.

10. Limitation of liability

To the fullest extent permitted by law, Corp shall not be liable for indirect or consequential loss, loss of profit, loss of business, or loss of data. Aggregate liability for any claim is limited to the fees paid in the twelve months preceding the claim.

Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be limited.

11. Intellectual property

You retain ownership of all material you provide and all output the service produces from it. You grant Corp only the license necessary to operate the service on your behalf. Corp retains ownership of the software itself.

12. Changes to these terms

These terms may be amended. Material changes will be notified before they take effect. Continued use of the service after that point constitutes acceptance of the amended terms.

13. Governing law

These terms are governed by the laws of the state in which Corp is established, and the courts of that state have exclusive jurisdiction.
